SOFTWARE & SERVICE TERMS AND CONDITIONS

Effective Date: 03/03/2026

These Terms and Conditions (“Agreement”) govern the use of Cornerstone AI, associated software systems, automation builds, funnels, and services provided by Venture Mentors (“Company”, “we”, “us”, “our”).

By engaging our services, signing this agreement, or using the software, you (“Client”) agree to the following terms.

1. Scope of Services

Venture Mentors provides:

  • Cornerstone AI automation systems

  • Instant quoting AI agent setup (if included)

  • CRM configuration (via GoHighLevel)

  • Lead funnels and client onboarding funnels

  • Missed call text back setup (if activated)

  • Chatbot implementation (if included)

  • Hiring funnel (if included in package)

  • Database reactivation campaigns

  • Review and referral automations

  • Venture Mentors Training Academy access

  • Complete Growth Document Bundle (if applicable under selected package)

Services vary depending on the subscription selected.

2. Website Ownership & Hosting

If Venture Mentors builds or assists in building your website:

  • The website remains your property.

  • You are responsible for hosting costs and platform subscriptions (e.g., Framer, WordPress, etc.).

  • Venture Mentors does not cover or manage third-party hosting fees unless otherwise agreed in writing.

  • If hosting lapses, we are not responsible for outages or loss of functionality.

3. Software Access & Active Subscription

Access to Cornerstone AI and associated systems requires an active subscription.

  • 30 days written notice is required to cancel.

  • Cancellation does not remove outstanding payment obligations.

  • Access will be suspended if payments are not made on time.

  • Reactivation may incur additional setup fees.

4. Fees & Payment Terms

4.1 Subscription Fees

Clients agree to pay the agreed monthly subscription fee.

4.2 Overdue Payments

  • Late payments may incur additional administrative fees.

  • Accounts overdue beyond 7 days may have system access suspended.

  • Continued non-payment may result in permanent termination.

4.3 Non-Refundable Policy

All payments made to Venture Mentors are strictly non-refundable.

This includes:

  • Setup fees

  • Monthly subscription fees

  • Deposits

  • Build fees

  • Customisation fees

  • AI rebuild fees

  • Website building fees

No refunds are provided under any circumstance.

5. SMS, Email & Usage Charges

All SMS and email messaging charges are billed directly through the Client’s GoHighLevel account.

  • Venture Mentors does not control these fees.

  • Usage-based costs vary depending on volume.

  • Clients are responsible for monitoring their usage.

6. Digital Number / Missed Call Text Back

If activated:

  • A digital phone number may incur an additional fee of approximately $10- $15 per month.

  • This is billed on top of your standard subscription unless billed directly inside of your GHL System.

  • Activation is optional but recommended.

7. Instant Quoting AI System

The Instant Quoting system is a custom-built AI agent.

  • Once built and approved, any revisions beyond pricing adjustments will incur additional fees.

  • Structural changes require rebuilding the AI agent.

  • Rebuilds require significant time and technical configuration.

  • Fees will be quoted before any changes are made.

8. Intellectual Property & Confidentiality

All systems, frameworks, templates, AI structures, scripts, workflows, documents, and internal processes remain the intellectual property of Venture Mentors.

Clients may not:

  • Share internal documents externally

  • Replicate systems for third-party resale

  • Reverse engineer AI frameworks

  • Provide access to non-authorised third parties

  • Distribute training materials

Violation may result in termination and legal action.

9. Growth Bundle (selected subscriptions only.)

Clients on the 369 package receive access to:

  • Hiring funnel

  • Employment contracts

  • Company policies

  • Script documents

  • Business Planning documents and templates

  • Growth systems bundle

10. Client Responsibilities

Clients agree to:

  • Provide requested information promptly

  • Review builds in a timely manner

  • Approve revisions without unreasonable delay

  • Maintain active payment details

  • Comply with local employment and marketing laws

Delays caused by the Client do not extend payment obligations.

11. Communication Expectations

Clients must respond in a reasonable timeframe to ensure builds and automation are implemented efficiently.

Failure to respond does not pause billing.

12. Termination

Venture Mentors reserves the right to terminate access if:

  • Payments are repeatedly late

  • Systems are misused

  • Intellectual property is breached

  • Abusive behaviour occurs

  • We decide for any reason to discontinue services. 

13. Limitation of Liability

Venture Mentors provides software and automation systems.

We do not guarantee:

  • Revenue increases

  • Lead volume

  • Hiring success

  • Conversion rates

Business performance depends on client execution.

14. Entire Agreement

This Agreement supersedes prior discussions and agreements.

1) Definitions + “As-Is” + Right to Modify (add after Effective Date)

Definitions. “Services” means Cornerstone AI, automation builds, templates, training, and any deliverables provided by Venture Mentors. “Platform” includes any portals, dashboards, snapshots, funnels, or systems we configure for you.

As-Is. The Services are provided on an “as-is” and “as-available” basis. We do not warrant that the Services will be uninterrupted, error-free, or meet your specific requirements.

2) Account Security + Access Control 

Login Credentials. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account, whether authorised by you or not.

Access Restrictions. Accounts are non-transferable. You must not share access with unauthorised users. We may disable access if we suspect unauthorised use or security risk.

3) Third-Party Platforms (GoHighLevel, hosting, carriers) 

Third-Party Services. Our Services may rely on third-party platforms (including but not limited to GoHighLevel, hosting providers, domain registrars, email/SMS carriers, and payment processors). We are not responsible for outages, policy changes, pricing changes, carrier filtering, deliverability issues, or functionality limitations caused by third parties.

Compliance Requirements. You are responsible for complying with any third-party terms, verification requirements, and acceptable use policies.

4) Communications Compliance (TCPA/CAN-SPAM equivalent) (add under SMS section)

You Are the Sender. You (not Venture Mentors) are the initiator and sender of all SMS, email, calls, and automated communications sent through your GoHighLevel account.

Legal Compliance. You are solely responsible for compliance with all laws and regulations relating to marketing and telecommunications (including opt-in/consent requirements, unsubscribe requirements, and record keeping). We do not provide legal advice and do not guarantee your communications are compliant.

Opt-In Data. You warrant that all contacts you upload or message have provided valid consent to receive communications from you, as required by law.

5) Regulatory Bundle / Phone Number Approval 

Verification & Approval. Activation of a digital number may require identity and business verification, regulatory registration, and supporting documentation. Approval timelines are outside our control.

Non-Delivery Risk. You acknowledge that carriers may delay, block, filter, or fail to deliver messages. We are not liable for carrier decisions or deliverability outcomes.

6) Taxes 

Taxes. You are responsible for all taxes, duties, and governmental charges associated with your purchase or use of the Services, including taxes related to your own customers.

7) Data + Backups + Deletion 

Your Data. You retain ownership of your customer data and content you upload (“Client Data”).

Data Responsibility. You are responsible for maintaining your own backups. We are not liable for deletion, corruption, or loss of Client Data arising from third-party platforms, user error, integrations, or account changes.

Account Removal. Upon cancellation, we may remove access and/or delete configurations after a reasonable period. Retrieval or exports after cancellation may incur an admin fee or not be accessable.

8) Non-Solicitation + Non-Circumvention 

Non-Solicitation. During the term of this Agreement and for 12 months after termination, you agree not to solicit or hire Venture Mentors team members or contractors without written consent.

Non-Circumvention. You agree not to bypass Venture Mentors to obtain proprietary builds, templates, agents, or system structures from our suppliers/contractors introduced through our work, for 12 months post-termination.

9) Injunctive Relief

Injunctive Relief. You acknowledge that unauthorised disclosure or misuse of Venture Mentors intellectual property may cause irreparable harm, and we may seek urgent injunctive relief (court orders) in addition to any other remedies.

10) Force Majeure (new section)

Force Majeure. We are not liable for delays or failure to perform due to events beyond our reasonable control (including outages, carrier disruptions, platform failures, cyber incidents, natural disasters, or government action).

11) Notices 

Notices. All notices (including cancellation) must be provided in writing to: info@venturementors.com.au Notices are effective when received.

12) Training Disclaimer 

Training Disclaimer. Training content is general information only and not legal, financial, or employment advice. You are responsible for determining suitability for your business and compliance in your jurisdiction.

Content Repurposing & Attribution Restrictions

Clients may not repurpose, reproduce, teach, summarise, repackage, or redistribute Venture Mentors training materials, frameworks, scripts, AI structures, or methodologies as their own content — whether on TikTok, Instagram, YouTube, paid programs, coaching offers, or otherwise.

This includes but is not limited to:

  • Re-teaching Academy frameworks

  • Recreating proprietary scripts

  • Repurposing internal documents as public-facing content

  • Claiming Venture Mentors methodologies as original ideas

Clients may apply concepts within their own business operations, but may not commercially exploit or publicly redistribute Venture Mentors intellectual property in any format.

Violation may result in immediate termination and legal action.

Implementation Timeline & Client Delays

Implementation timelines are dependent on timely client cooperation.

If the Client fails to provide required information, approvals, documentation, or feedback within 14 days of request:

  • The project may be delayed.

  • Billing will continue as normal.

  • Re-engagement after prolonged delay may incur additional fees.

We are not responsible for missed launch dates caused by client inaction.

3. Turnaround Times 

Revision & Turnaround Expectations

Standard revision turnaround time is 3–7 business days unless otherwise agreed.

We do not guarantee same-day or immediate turnaround on changes.

Fee Adjustments

Venture Mentors reserves the right to adjust subscription pricing with 30 days written notice.

Continued use of the Services after the effective date constitutes acceptance of the new pricing.

If the Client does not agree to updated pricing, cancellation must be submitted prior to the new billing period in accordance with the 30-day notice requirement.

Setup Fees

Setup fees cover configuration, system architecture, AI builds, funnel construction, and onboarding implementation.

Setup fees compensate for time, labour, and technical configuration regardless of business outcomes.

Setup fees are non-refundable once work has commenced.

Package Downgrades

If a Client downgrades their subscription:

  • Access to higher-tier materials, documents, and systems will be removed.

  • Downgrades do not reduce outstanding notice periods.

  • Downgrades do not result in partial refunds.

Abandoned Projects

If a Client becomes unresponsive for 30 consecutive days during setup:

  • The project will be marked as abandoned.

  • Setup fees remain payable.

  • Restarting the project may incur a reactivation fee.

Platform Dependency

Certain features rely on third-party platforms and integrations.

If a third-party provider changes pricing, functionality, API access, or policies, Venture Mentors may modify or discontinue dependent features without liability.

Support Scope

Subscription includes reasonable email or Loom-based support related to system use.

It does not include unlimited consulting, strategic coaching, or business advisory unless explicitly included in the selected package.

Excessive support requests may require upgrading or additional consulting fees.

No Performance Guarantees

Venture Mentors provides systems, automation, and strategic infrastructure.

We do not guarantee specific financial results, client acquisition outcomes, hiring results, conversion rates, or revenue increases.

Client results depend on execution, pricing, leadership, and market conditions outside our control.

Non-Disparagement

Clients agree not to make false, misleading, or defamatory statements regarding Venture Mentors or its Services.

Constructive concerns must be raised privately and in writing to allow resolution.

Survival

Sections relating to Intellectual Property, Payment Obligations, Limitation of Liability, Confidentiality, and Dispute Resolution survive termination of this Agreement.
